Proposed Changes for the Chamber of Commerce Articles of Incorporation

file is a copy of the Original Articles of Incorporation from 1979. Please excuse the quality and notes on the document.
The proposed changes to the Articles are outlined below.
PRECIS
The current Articles of Incorporation of Chamber of Commerce of American Samoa have been in place since 1979. After 30 years it was felt by the board that a number of changes were needed. This document briefly sets out most of these changes. This document is intended to bring your attention to these changes and is not intended to be a comprehensive document noting the changes in full. If you would like to go through the old and new articles a full copy can be provided to you.
The changes are as follows:
Article 2:
Duration becomes perpetual where it was previously 50 years.
Article 3:
Grammatical change “organized is as follows” changed to “organization are as follows”.
Article 3 f:
Section on personal grievances is removed.
Article 3 g through m:
Sections added referring to commitments relating to the tax status of the Chamber
Article 5 section 2:
Classes of membership changed from three (individual, firm / corporation, associate) to two (firm / corporate, associate)
Article 5 section 5:
Voting section changed to remove individual members, as per Article 5 section 2. The title manager is changed to Administrative Assistant (see Article 9).
Article 5 section 7:
Added that a board member can resign by giving notice in writing to the board of directors
Article 6 section 1:
Number of members of the board changed from having to be 11 to being a minimum of 7
Article 6 section 5:
The title President is changed to Chairman (see article 7)
Article 6 section 6:
Quorum changed from 6 members with a minimum of 4 votes for adoption / approval to 4 members with a minimum of 3 votes for adoption / approval
Article 6 section 9:
Is removed as it was the names and addresses of the directors, however it was the original directors from 1979
Article 7:
Changes the titles of the executive board, removes the role of second vice president and details the duties of each position. The titles have changed from President, Vice-Presidents, Treasurer, secretary to Chairman, Vice-Chairman, Treasurer, Secretary.
Article 7 section 6:
Removes the names and roles of the original officers.
Article 8 section 1:
Changes the Annual General Meeting from the month of October to the month of December
Article 8 section 3:
Quorum for the Annual General Meeting changed from 15 members to the lesser of majority of members having paid annual dues or 15 members
Article 8 section 4:
The title President is changed to Chairman (see article 7)
Article 9 section 3:
The titles of the executive board are changed (see section 7). The title Manager is changed to Administrative Assistant.
Article 9 section 4:
The title Manager is changed to Administrative Assistant and the duties of the role have been changed.
Article 9 section 5:
The section is corrected to show section 5 as previously was incorrectly noted as a second section 4
Article 10 section 1:
Slight grammatical correction removing the word All.
Article 11:
Reworded to make reference to appropriate Internal Revenue Code.
Article 13:
Is changed from referring to the Principle Office to refer to the Bylaws.
Article 14:
Is changed from referring to the original incorporators to refer to the Principle Office and Registered Agent.
